Governance

How we're run.

NRAP is an independent 501(c)(3) — not a project of any single association. Our governance model is conventional for nonprofits at our stage: an independent board, transparent finances, and a clear set of policies.

Corporate structure

  • Entity: 501(c)(3) tax-exempt nonprofit. IRS determination letter dated August 14, 2026; exemption effective February 19, 2026.
  • State of incorporation: Florida.

Board structure

  • Voting members: Board of Directors consists of representatives that are leading the roofing industry from contractors, partner associations, and education.
  • Officers: President, Vice President, Secretary, and Treasurer.
  • Non-voting: Counsel.
  • Meeting cadence: Minimum two times per year, with ability to call special meetings.

NRAP posts the following on the public site, refreshed annually:

  • IRS determination letter
  • Most recent three years of Form 990
  • Audited financial statements (when state thresholds trigger an audit)
  • Annual report
  • Board roster with affiliations
  • Funder list (with permission)

The boring part is the point.

Nonprofits live and die by governance. Real funders look at the board, the policies, and the audit relationship before they look at the program. NRAP is built to pass that check from day one.
